CountBuddy Terms of Use
These Terms explain the business rules for using CountBuddy, whether you are evaluating a pilot workspace, running a paid rollout, or using a saved quote or invite link. They are written to match the product as it exists today rather than promising features or rollout states that are not live yet.

1. Who these Terms apply to
These Terms apply between you and WeBoost Ltd, the business operating the CountBuddy deployment, workspace, quote, or invite you are using. In these Terms, WeBoost Ltd is referred to as the CountBuddy operator, we, or us.
CountBuddy is a business tool for stock counting, barcode management, imports, exports, labels, and variance review. If you use it on behalf of an organisation, you confirm that you are authorised to accept these Terms for that organisation.
2. What CountBuddy currently covers
CountBuddy is designed to help warehouse, stockroom, supplier, and operations teams import stock data, fill barcode gaps, run mobile count sessions, review variances, and export the results.
Some deployments may still be in pilot, staging, or test-billing mode. Quotes, invitations, pricing pages, and onboarding flows may be live before full production activation. We will not treat a feature, billing path, or workflow as live unless it has been explicitly enabled in the environment you are using.
3. Accounts, roles, and access
You are responsible for keeping account credentials, invite links, and shared access under control. Use CountBuddy only with users who are genuinely authorised to count stock, review variances, or administer the workspace.
- Keep passwords and shared invite links secure.
- Do not give users broader access than they need.
- Do not share role-based invite links outside the intended team or rollout group.
- Tell us promptly if you believe an account, invite, or shared device has been misused.
4. Your data and your responsibility for it
You keep ownership of the stock, product, barcode, location, import, session, variance, and export data you put into CountBuddy.
You are responsible for making sure that the data you import or enter is lawful to use, reasonably accurate, and safe for us to process. That includes uploaded spreadsheets, barcode values, stock figures, notes, user lists, and any referral or invite details you choose to enter.
CountBuddy helps you organise and review count data, but it does not independently verify that your imported stock file, expected quantities, supplier codes, or confirmed variances are correct. You should keep your own export or system-of-record backup where that matters operationally.
5. Trials, quotes, onboarding, and billing
CountBuddy can be offered through self-serve trials, guided quotes, invoice-led rollouts, or direct checkout where billing has been enabled. The exact path available depends on the environment and rollout stage.
- A saved quote is an estimate and package recommendation, not a signed contract or activated subscription.
- Annual commitment paid monthly stays quote-only unless we expressly enable it another way in writing.
- Guided Setup & Import Pack or other onboarding fees apply only where shown in the pricing flow, quote summary, checkout path, or written rollout agreement.
- No money should be treated as due until you complete an enabled checkout flow, accept a written quote, or otherwise agree billing with the CountBuddy operator.
6. Acceptable use
You must not use CountBuddy to:
- break the law or infringe someone else's rights;
- upload malicious code, harmful files, or unsafe content;
- try to bypass roles, permissions, seat limits, or access controls;
- interfere with the service, its infrastructure, or another customer's workspace;
- use the product in a way that creates misleading count records, manipulated audit trails, or dishonest stock reviews.
7. Availability, pilots, and product changes
CountBuddy is provided on an as available basis. We aim for a reliable service, but we do not promise uninterrupted access, error-free operation, or that a pilot or staging deployment will behave exactly like a later production rollout.
We may update, suspend, improve, or remove features where needed for security, usability, maintenance, or rollout control. Where possible, we will try to do that in a way that is proportionate to the current stage of the product.
8. Intellectual property
The CountBuddy software, branding, workflows, and supporting materials remain the property of the CountBuddy operator or its licensors. These Terms give you a limited right to use the service for your internal business purposes while your access remains active.
9. Suspension and termination
We may suspend or end access if there is a serious security issue, repeated misuse, unlawful activity, non-payment once live billing is in force, or another material breach of these Terms.
You may stop using CountBuddy at any time. If you want workspace data removed, archived, or exported, ask the CountBuddy operator before the workspace is closed so that any required handover can be arranged.
10. Liability
Nothing in these Terms limits liability where the law does not allow it to be limited, including liability for fraud or for death or personal injury caused by negligence.
Subject to that, CountBuddy is not liable for indirect or consequential loss, loss of profit, loss of goodwill, or loss arising from inaccurate imports, operational decisions, or reliance on count data that you have not reviewed appropriately.
To the fullest extent permitted by law, the total liability of the CountBuddy operator for claims connected to the service is limited to the greater of:
- the fees paid for CountBuddy in the 12 months before the claim; or
- £100 where no paid fees have yet been made.
11. Governing law and contact
These Terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction unless a written agreement says otherwise.
